By purchasing EdgeTrends services for resale, you agree to adhere to this Reseller Policy.

To ensure that EdgeTrends authorized resellers ("Resellers") can maintain healthy margins and ensure that EdgeTrends end users receive quality sales and customer support experience, EdgeTrends has announced this Reseller Policy (the "Reseller Policy"). EdgeTrends believes that its end-user customers are better served if they have resellers who market the EdgeTrends Services as premium branded products and who provide an outstanding level of service and support to their end-user customers.

EdgeTrends adopts this Resale and Quality Policy (this "Policy") and requires each person, company, or entity (as applicable, a "Reseller") that purchases its services (the "Services") for resale or other distribution to agree to comply with this Policy. Accordingly, the terms of this Policy are incorporated into and in addition to any agreement entered into between EdgeTrends and the Reseller relating to the Reseller's purchase or sale of the Services.

Sales to end users only.

Unless otherwise agreed with EdgeTrends in writing, Reseller may only purchase Services for resale to consumers and end users and Reseller may not resell Services to vendors or to distribute them in any way.

Internet Sales Prohibited.

Reseller will be prohibited from selling Our branded Products over the Internet unless applicable, approved by EdgeTrends, and executing an Authorized Internet Reseller Agreement or other similar agreement governing how it sells online.

Sales Restricted to the Territory.

If Reseller purchases Services under a contract that obligates Reseller to resell the Services in a geographic territory, Reseller must comply with that obligation.

Intellectual property.

Unauthorized use of intellectual property in our Services is prohibited. Resellers who comply with this Policy have a limited, non-exclusive, non-sublicensable, revocable license to use EdgeTrends' trademarks and copyrights in connection with the sale of the Products. Reseller shall not alter, modify, or change any trademark or copyright, nor shall Reseller use any trademark or copyright other than for the promotion and sale of the Services, nor shall Reseller use any trademark or copyright in any manner that adversely affects such trademark or copyright. Failure to comply with the Policy will result in automatic revocation of the license granted herein and total forfeiture of the rights granted herein. EdgeTrends reserves the right to revoke this license at any time for any reason or no reason.

Inspection Service.

EdgeTrends will promptly inspect all Services upon completion and will promptly return in the terms of sale any Services that appear incomplete or unsatisfactory at the time of inspection.

Sales Practices.

Reseller will conduct its business reasonably and ethically at all times and will not engage in any misleading, misleading, or unethical practices or advertising at any time or make any warranties or representations with respect to the Services, except as expressly authorized by EdgeTrends. Reseller shall comply with applicable laws, rules, regulations, and policies relating to advertising, sale, and marketing of the Services.

Level of customer service.

The reseller will provide the highest levels of customer service. Reseller and reseller's sales personnel must be familiar with the specific features of all EdgeTrends Services marketed for sale and must obtain sufficient product knowledge to advise customers on the selection and safe use of the services, as well as any applicable warranty, warranty, or return. politics.

Customer service channels.

Reseller will maintain customer service email and telephone response functions as required by the original Agreement to manage customer complaints, returns, and other customer service functions. Upon EdgeTrends' request, Reseller will provide any reports or other information requested by EdgeTrends, regarding a particular Service to determine the date of purchase of the Service by Reseller, the place where the Service was purchased, and the dates on which the Service was sold or performed by Reseller to a buyer.

Consumer Safety and Service Cancellation.

Reseller will cooperate with EdgeTrends in connection with any investigation of consumer safety claims or any evaluation of service termination. To ensure the safety and well-being of end users of the Services, Reseller agrees to cooperate with EdgeTrends regarding any termination of the Service or other consumer safety information dissemination efforts.

Service failure.

If a considerable number of Services purchased by Reseller fails, Reseller will immediately report such event to EdgeTrends.

Report on unauthorized resellers.

If a Reseller has information, or suspects, that any person is buying and reselling or distributing Services in a manner not authorized by EdgeTrends, Reseller must immediately notify EdgeTrends.

Other information, documents, and reports.

Resellers must provide EdgeTrends with all supplemental information, documents, and reports that EdgeTrends may request to validate Reseller's compliance with this Policy and to support EdgeTrends' warranty and customer support obligations and initiatives .

Unilateral policy changes

EdgeTrends sales personnel have no authority to modify or grant exceptions to this Unilateral Policy. All questions regarding the interpretation of this Policy should be directed to the Reseller Policy Committee at help@edgetrends.net.

Termination and Liability Due to Policy Violation

If EdgeTrends determines that Reseller is violating the Reseller Policy, it may take appropriate legal action, including, but not limited to, refusing to accept orders from Reseller or instructing its distributors to refuse to accept orders from Reseller.

Policy Modification and Changes

EdgeTrends reserves the right to update, amend or modify this Reseller Policy at any time. Unless otherwise stated, such amendments shall be effective immediately and Reseller's continued use, advertising, offer to sell or sale of the Products shall be deemed acceptance of the amendments by Reseller.
